Global Enterprise Software Vendor Acquires European Firm, Further Strengthens Process Expertise and International Presence

BALTIMORE, MD and BRUSSELS, BELGIUM – November 15, 2007 – Metastorm, a leading provider of Business Process Management (BPM), Business Process Analysis (BPA), and Enterprise Architecture (EA) software for aligning strategy with execution, today announced that it has acquired Process Competence, a European firm specializing in helping organizations design and optimize customer-oriented business processes.

The acquisition further strengthens Metastorm’s global leadership position by providing its customers with local process experts who can help establish process excellence as a discipline and help organizations deploy the Metastorm Enterprise™ software to deliver real results.

Process Competence was already a certified Metastorm partner and a licensed distributor for the Metastorm ProVision® modeling suite. The company’s expertise in process best practices, its strong process improvement methodology, and its proven success in helping organizations throughout Europe achieve success with Metastorm ProVision were key factors in Metastorm’s decision to acquire Process Competence. Its employees will play an integral role in extending Metastorm’s direct sales and professional services presence in Europe and other regions.

The acquisition of Process Competence closely follows Metastorm’s acquisition of Proforma Corporation in August 2007 and further contributes to Metastorm’s goal of helping its customers unify strategy, analysis and execution on a single technology platform.

“Process Competence was formed to help organizations in Europe achieve process excellence, with an emphasis on customer-orientation and the use of modeling tools to help drive success,” stated Stefaan Lambrecht, managing director of Process Competence. “Becoming part of Metastorm will expand our resources and give us broader reach to further deliver on our vision of enabling our customers to become leaders in their respective industries and transforming them into role models for process excellence.”

Its process expertise has helped Process Competence attract a strong portfolio of customers, including AON, Axione, Banque de Luxembourg, Dexia Insurance, Distrigas, Fortis, LeasePlan, Nestlé Nespresso, Numico, Randstad, and Swiss Life. Process Competence has offices in Belgium, France, and the Netherlands.

“We are very pleased that Process Competence has agreed to become part of Metastorm,” stated Robert Farrell, chairman and CEO of Metastorm. “The knowledge and skill set that Process Competence brings to Metastorm will be very valuable to our customers as they strive to model and optimize business processes to achieve their core strategic objectives, such as better customer service and stronger financial performance. The resources we gain from Process Competence will allow us to better service our global customer base and help organizations more effectively address the challenge of aligning strategy with execution.“

The acquisition will take effect November 19, 2007.
